Terms of Service

Sortstash LLC, a Wyoming limited liability company ("Sortstash," "we," "us," "our"), provides its services through its website located at sortstash.com (the "Site") and its desktop application (the "App"), collectively referred to as the "Service," subject to the following Terms of Service.

By downloading, installing, or using the Service, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or the Privacy Policy, you must not access or use the Service.

1. Service Description

The Service is a desktop file management application that indexes files across local drives and connected cloud storage services, allowing users to create persistent filtered views of their files across multiple sources. The App runs locally on your computer; your files remain in their original locations.

2. License Grant

Subject to your compliance with these Terms of Service and payment of the applicable license fee, Sortstash grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on up to five (5) computers that you own or control, solely for your personal or internal business purposes.

License Restrictions

You may not:

  • Copy, modify, or distribute the App or any part thereof
  • Reverse engineer, decompile, or disassemble the App
  • Rent, lease, lend, sell, sublicense, or transfer the App to any third party
  • Remove, alter, or obscure any proprietary notices on the App
  • Use the App to develop a competing product or service
  • Use the App for any unlawful purpose

License Term

Your license is perpetual for the major version purchased. Point releases (bug fixes, minor features) within that major version are included at no additional cost. Future major versions may be purchased separately at upgrade pricing.

3. Purchases and Payment

Pricing

The App is available for a one-time purchase of $79 USD (or equivalent in your local currency). Prices are subject to change; any price changes will not affect licenses already purchased.

Payment Processing

Purchases are processed by Paddle.com Market Limited ("Paddle"), our merchant of record. By purchasing, you agree to both these Terms and Paddle's Buyer Terms. Paddle handles all payment processing, billing inquiries, and refund requests. For Paddle's privacy practices, see their Privacy Policy.

All fees are inclusive of applicable taxes, which Paddle calculates and collects based on your location.

Refunds

We offer a 30-day money-back guarantee. If you are not satisfied with the App for any reason, contact Paddle support within 30 days of purchase for a full refund. See our Refund Policy for details.

EU Consumer Rights

If you are located in the European Union, you have additional rights under the Consumer Rights Directive, including a 14-day right to cancel. These rights are handled by Paddle as our merchant of record. For details, see Paddle's Buyer Terms.

4. License Activation

The App requires activation using a license key provided after purchase. Each license permits activation on up to five (5) devices. Activation requires a brief internet connection to verify your license with our activation server. The App stores your license status locally and does not require a persistent internet connection for normal operation.

Device Management

You may deactivate a device at any time through the App's preferences or by contacting support, freeing that activation slot for use on another device.

5. Cloud Service Connections

The App may connect to third-party cloud storage services (such as OneDrive or Dropbox) that you choose to add. When you connect a cloud service:

  • You authorize the App to access your files on that service using industry-standard OAuth authentication
  • Your OAuth credentials are stored locally on your device and are not transmitted to Sortstash servers
  • You remain subject to the terms of service of each cloud provider
  • Sortstash is not responsible for changes to cloud provider APIs, terms, or availability

You may disconnect any cloud service at any time through the App's preferences.

6. Your Data

Local Processing

The App indexes your files locally on your device. File metadata (names, paths, dates, types) is stored in a local database on your computer. File contents are not transmitted to Sortstash servers.

No Cloud Sync

In the current version, the App does not sync your index or views between devices. Each installation maintains its own local database.

Data Ownership

Your files and data remain yours. Sortstash claims no ownership or rights to your files, file metadata, or any content you access through the App.

7. Updates and Modifications

App Updates

We may release updates to the App from time to time. Point release updates (e.g., 1.0 to 1.1) are provided free of charge and may include bug fixes, security patches, and minor features. Major version updates (e.g., 1.x to 2.0) may be offered as paid upgrades.

You are not required to install updates, but older versions may not receive continued support or security updates.

Service Modifications

We reserve the right to modify or discontinue any aspect of the Service at any time. If we discontinue the App entirely, we will make reasonable efforts to provide notice and will not be liable to you for such discontinuation.

8. Intellectual Property

The App, including all code, design, graphics, documentation, and other materials, is owned by Sortstash and protected by copyright, trademark, and other intellectual property laws. These Terms of Service do not grant you any rights to Sortstash trademarks, logos, or branding.

Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by Sortstash without obligation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SORTSTASH DOES NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR REQUIREMENTS
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE APP INDEXES AND PROVIDES ACCESS TO YOUR FILES BUT DOES NOT MODIFY, MOVE, OR DELETE FILES UNLESS YOU EXPLICITLY INITIATE SUCH ACTIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SORTSTASH BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • ANY DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

IN NO EVENT SHALL SORTSTASH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sortstash and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms of Service
  • Your violation of any rights of another party
  • Your violation of any applicable law

12. Termination

Termination by You

You may stop using the Service at any time by uninstalling the App. Your license remains valid unless terminated by us.

Termination by Us

We may terminate or suspend your license immediately, without prior notice, if you breach these Terms of Service. Upon termination, your right to use the App ceases immediately.

Effect of Termination

Termination does not affect files on your computer or connected cloud services. Your files remain in their original locations.

13. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms of Service or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

Any arbitration shall take place in Wyoming or, at your election, via telephone, online, or based solely on written submissions. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

YOU AND SORTSTASH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Provisions

Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Sortstash regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms of Service is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms of Service or your rights hereunder without our prior written consent. We may assign these Terms of Service without restriction.
